The first quarter shows two businesses moving in opposite directions: legacy Worthington Steel improved on volume and pricing, but the Kloeckner acquisition changed the cost and capital structure so sharply that higher operating income still turned into a net loss. The key question is now whether integration rights and economics justify the debt load.

The quarter showed the deal added revenue faster than it added operating profit
Revenue rose to $2,726.6 million from $872.9 million, with $1,772.7 million of the increase coming from Kloeckner after the June 3 acquisition 8-K. Operating income improved to $56.0 million from $48.3 million, which means the much larger sales base translated into only a modest increase in operating profit and a lower operating margin of 2.1% versus 5.5% a year earlier 8-K.
That margin pressure was visible above the operating line. Gross margin increased in dollars to $261.2 million from $115.2 million, but fell to 9.6% of sales from 13.2%; excluding Kloeckner, gross margin increased only $2.0 million, as higher direct spreads were largely offset by $11.1 million of higher manufacturing expense and lower toll spreads 2021.
Legacy Worthington Steel was better than the headline suggests
Management said the core Worthington Steel business delivered solid operating performance, driven by higher direct volumes and improved pricing, and the detailed bridge supports that reading. Excluding Kloeckner, net sales increased $81.0 million, driven primarily by higher direct volumes and, to a lesser extent, higher average direct selling prices; direct tons sold increased 3% and direct selling prices increased 6%, while toll volumes fell 8% 8-K.
The quality of that improvement was mixed. Excluding Kloeckner, direct spreads increased $13.9 million, helped by higher volumes and a favorable change in inventory holding gains from an estimated $5.6 million to an estimated $12.1 million, while value-added market spread compression reduced direct spreads by $0.2 million and toll spreads decreased $0.9 million 21. Management also tied the toll decline to continued soft demand from mill customers, and said construction volumes fell primarily because increased competition and tight steel availability limited its ability to quote short-term contract business 211113.
Below operating income, financing and acquisition-related items overwhelmed the quarter
The move from operating profit to net loss was driven mainly by financing and acquisition-related items, not by a collapse in operations. Interest expense, net rose to $38.8 million from $2.9 million because the company added new debt and assumed indebtedness in the Kloeckner acquisition, including $1.4 billion of secured indebtedness incurred on June 1, 2026 524.
Miscellaneous expense also turned sharply worse at $10.5 million versus income of $0.2 million a year ago, primarily because of a $15.5 million loss from remeasuring previously held Kloeckner shares, $2.8 million of foreign-currency hedge expense, $2.0 million of incremental foreign currency remeasurement loss and a $0.9 million mark-to-market loss on the derivative tied to the expected purchase price of remaining Kloeckner shares 23. Reported net loss attributable to controlling interest was $7.0 million, while company-defined Adjusted Diluted EPS was $0.57 versus $0.77 a year earlier after excluding items including acquisition-related expense, securities investment loss and a deferred tax asset adjustment 8-K.
Operating control is not yet assured, so the integration case is not yet proven
The strategic logic is clear in the numbers: Kloeckner broadened Worthington Steel beyond its historic automotive concentration, reducing automotive to 25% of net sales from 56% and Detroit Three exposure to 15% from 35% 10. Management also said the acquisition materially expanded its product range, geography and distribution activities 102.
But the company does not yet have full operating freedom over the asset it has levered up to buy. The DPLTA signed on September 8, 2026 is not currently effective and cannot become effective before January 1, 2027; until then, German law limits certain actions with respect to Kloeckner’s operations, and the company says it may not have control over Kloeckner’s day-to-day operations despite GAAP consolidation. Even if the DPLTA becomes effective, it can create either about €415.8 million of initial exit compensation if all remaining outside shareholders tender or €25.3 million of guaranteed annual compensation if all remain, with appraisal proceedings able to increase those amounts 7.
What to watch next
Whether the DPLTA wins approval and becomes effective no earlier than January 1, 2027, since management says current restrictions can delay integration and synergies 75658.
Whether second-quarter inventory holding gains land within management’s expected $10.0 million to $15.0 million range as steel prices remain elevated 18.
Whether borrowing costs rise further on variable-rate debt after the September 2026 rate increases and with the post-acquisition debt structure now in place 1314.
