CBIZ’s quarter was defined by much stronger profitability on only 1.2% revenue growth 8-K. The release points to a less distorted comparison than last year’s reported GAAP figures suggest, but it withholds guidance and gives no quarterly cash flow detail because of the pending sale 8-K8-K.

Profit expansion outpaced revenue growth
Revenue was $702M, up 1.2%, while operating income rose 53.2% to $90M and operating margin improved to 12.8% from 8.5% 8-K. That makes this a margin quarter, not a revenue-growth quarter: operating expenses were 83.8% of revenue versus 87.0%, and corporate G&A was 3.4% versus 4.5% 8-K.
Net income was $47M, up 56.7%, and GAAP EPS was $0.79, up 64.6% 8-K. Below operating income, interest expense improved to $24.0M from $28.0M, but total other expense worsened to $22.5M from $18.5M because last year included a $1.1M gain from acquisition-related adjustments and higher other income 8-K.
The year-on-year comparison looks less distorted
The release explicitly flags non-GAAP measures as excluding Marcum Transaction impacts, integration costs, amortization of acquired intangibles, and other significant non-operating gains and losses that management does not consider ongoing in nature 8-K8-K. Company-defined adjusted EBITDA was $132M, up 6.3%, and adjusted diluted EPS was $1.21, up 14.2%, much slower than the GAAP profit growth, which suggests the headline GAAP improvement includes a meaningful comparison benefit from prior-year items 8-K.
One identified swing factor is the deferred compensation plan. In the prior-year quarter it added $8.9M to other income and also raised compensation expense, while in 2026 it reduced other income by $0.8M and reduced compensation expense; the company says the plan has no impact on income before tax or diluted EPS 8-K. That means the operating margin improvement is not just an accounting quirk from that plan, although the release does not provide a fuller bridge for underlying segment drivers 8-K8-K.
The pending sale now dominates the forward setup
CBIZ said the proposed acquisition by Grant Thornton, backed by New Mountain Capital, is expected to close in the fourth quarter of 2026, subject to shareholder approval, regulatory approvals, and other customary conditions 8-K. Because of that transaction, the company will not provide full-year 2026 guidance or host a conference call for the quarter 8-K.
That leaves important gaps for investors. The release gives nine-month operating cash flow and free cash flow growth, but no third-quarter cash flow detail, and without a full filing there is no quarter-specific balance sheet or risk-factor update beyond the transaction and standard cautionary language 8-K8-K8-K8-K8-K8-K8-K.
